Section 404 of Sarbanes-Oxley, or SOX, requires CEOs and other executives of public companies to report annually on and take personal responsibility for their companies internal controls. Noncompliance can have far-reaching adverse consequences: SEC fines and potential de-listing of the companys stock; loss in investor confidence; damaged customer and supplier relationships; decline in employee morale; and the inability to attract talented people. Over 75% of respondents to a recent PriceWaterhouseCoopers survey of financial services executives believe that the overall effort of complying with Sarbanes-Oxley Section 404 is significantly greater than anticipated. The SEC estimates the aggregate annual cost of Sarbanes-Oxley Section 404 compliance to be about $1.24 billion (Source: SEC final rule, release number 33-8238).
